1. Use of the Service

2. Farmer Qualifications:

By accessing or using the Service, you acknowledge and agree that certain features of the Service may be specifically designed for individuals engaged in agricultural activities, hereinafter referred to as "Farmers." To qualify as a Farmer for the purposes of this Service, individuals must meet the following criteria:

A. Engagement in Agricultural Activities: Farmers are individuals actively engaged in agricultural activities, including but not limited to cultivation, livestock management, and related farming practices.

B. Verification Process: We reserve the right to implement a verification process to confirm the eligibility of users claiming to be Farmers. This process may require the submission of documentation supporting their involvement in agricultural activities.

C. Compliance with Applicable Laws: Farmers using the Service must comply with all applicable local, regional, and national laws and regulations related to agriculture.

D. Intent to Utilize Service for Agricultural Purposes: Farmers must have the intent to use the Service for agricultural purposes, such as buying or selling agricultural products, connecting with other farmers, or accessing agricultural information.

E. Modification of Farmer Features: We reserve the right to modify or restrict access to features specifically designed for Farmers based on our discretion. Such modifications may occur to enhance user experience, comply with legal requirements, or address other relevant considerations.

By using the Service and identifying as a Farmer, you affirm that you meet the criteria outlined in this Farmer Qualifications section. We may periodically review and update these qualifications, and your continued use of the Service constitutes acceptance of any changes to the qualifications.

3. Billing Agent Representation

By utilizing the Service, Farmer users explicitly acknowledge and authorize CONTACTLOCAL.CA INC to act as their billing agent. In this capacity, CONTACTLOCAL.CA INC is authorized to manage all billing transactions on behalf of Farmer users, which includes but is not limited to:

A. Processing Payments: CONTACTLOCAL.CA INC is authorized to handle the processing of payments related to transactions made by Farmer users on the platform.

B. Issuing Invoices: Farmer users acknowledge that CONTACTLOCAL.CA INC may generate and issue invoices on their behalf for the services provided through the platform.

C. Subscription Renewals: In cases where subscription-based services are utilized by Farmer users, CONTACTLOCAL.CA INC is authorized to manage the renewal process on their behalf.

This billing agent representation is established to streamline financial transactions, ensuring a seamless experience for Farmer users on the platform. Farmer users understand and agree that CONTACTLOCAL.CA INC's role as a billing agent is integral to the provision of services through the platform.

CONTACTLOCAL.CA INC reserves the right to update billing-related processes, fees, and terms, with appropriate notice to Farmer users. Any changes will be communicated through the platform and/or other means. Continued use of the Service after such changes constitutes acceptance of the modified billing agent representation.

4. Service Fees

A. Transaction Fees:

i. Farmers: A 3% fee is applied to each transaction made on the platform by Farmers.

ii. Customers: A 5% fee is applied to each transaction made on the platform by customers.

B. Payment Handling: You acknowledge that these fees are deducted from the transaction amount before processing payments. This deduction is conducted to facilitate the services provided by CONTACTLOCAL.CA INC.

These transaction fees contribute to the ongoing maintenance, development, and improvement of the platform. By using the Service, you agree to the application of these fees as described in this Service Fees section.

CONTACTLOCAL.CA INC reserves the right to adjust these fees with reasonable notice to users. Any changes will be clearly communicated through the platform and/or other means. Your continued use of the Service after such changes constitutes acceptance of the modified fee structure.

5. Content and Intellectual Property

A. User Content: By using the Service, you may submit content, including but not limited to text, images, and other materials ("User Content"). You retain ownership of your User Content, but by submitting it, you grant us a worldwide, royalty-free, non-exclusive license to use, reproduce, modify, distribute, and display the User Content.

B. Intellectual Property: All content on the Service, including but not limited to text, graphics, logos, and software, is the property of CONTACTLOCAL.CA INC or its licensors and is protected by intellectual property laws.

6. Prohibited Conduct

You agree not to:

A. Violate any applicable laws or regulations.

B. Use the Service for any illegal or unauthorized purpose.

C. Interfere with or disrupt the integrity or performance of the Service.

D. Attempt to gain unauthorized access to the Service or its related systems.

7. Privacy

Your use of the Service is also governed by our Privacy Policy, which can be found www.contactlocal.ca/privacy. By using the Service, you consent to the collection, use, and disclosure of your information as described in the Privacy Policy.

8. Disclaimer of Warranties

The Service is provided "as is" and "as available" without any warranties, express or implied. We do not warrant that the Service will be error-free or uninterrupted.

9. Limitation of Liability

To the fullest extent permitted by law, CONTACTLOCAL.CA INC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

A. Your use or inability to use the Service.

B. Any unauthorized access to or use of our servers and/or any personal information stored therein.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Quebec, Canada, without regard to its conflict of law principles.

11. Changes to these Terms

We reserve the right to update or modify these Terms at any time without prior notice. The date of the latest revision will be indicated at the top of these Terms. Your continued use of the Service after any changes constitutes acceptance of those changes.
